The Website may feature message boards, discussion forums, prayer requests, shouts of praise, testimonials, forums, content, live chat, user stories, other interactive features (known as "Interactive Services") that allow you to post, submit, post, post or transmit to other users or persons (hereinafter referred to as "posting") content or materials (known as "Contribution Submissions"). We have the right to remove any User Contributions for any, or no, reason in our discretion. In addition, we have the right to take action with respect to any User Contributions that we deem necessary or appropriate in our discretion.

Without limiting the foregoing, we have the right to fully cooperate with any legal authority or court that asks or directs us to discover the identity, or other information, of someone posting any material on or through the Websites, if known. 

YOU WAIVE A CLAIM AND HOLD HARMLESS THE CHURCH AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY STATEMENT RESULTING FROM AN ACTION TAKEN BY THE FOREGOING PARTIES DURING OR AS A RESULT OF ANY INVESTIGATION OR ACTION TAKEN AS A RESULT OF INVESTIGATION BY EITHER PARTY OR BY LAW ENFORCEMENT AUTHORITIES.

However, we cannot always review all material before it is posted on the Websites, and there can be no assurance that offensive material will be removed promptly after being uploaded. Therefore, we assume no responsibility for any action or inaction with respect to transmissions, communications or content given by any other user or third party. In addition, we are not responsible for the performance or activities described in this section.

The Websites, together with all material contained on such Websites ("Online Material"), are the property of Mujer Virtuosa Ministries, Inc., eTemplo Virtual,  Edifica Tu Casa CC, Sin Dudar Network, its licensors and/or providers of Online Material and is protected by the laws of the United States, as well as laws protecting copyright,  logos, logos, trade secrets, and other intellectual material or laws protecting patents. Unauthorized use of Online Materials contained on these Websites may violate these laws or other regulations and/or decrees.

The Online Materials may not be copied, distributed, displayed, downloaded, or transmitted in any format or in any manner without prior written permission from the Church or the rights owner. For clarity, Online Materials includes, but is not limited to, all text, illustrations, photographs, video or audio sequences, or graphic designs contained on the Websites.

For example, you must not:

In no event shall the Church, its Affiliates or Licensors, Service Providers, Employees, Agents, Officers, or Directors, be liable for any damages of any kind, under any legal theory, arising out of or in connection with your use of, or inability to use, the Websites, or any Site linked to it, any content on the Website or any other Website, or any services or objects obtained through the Website or other Sites or any services or objects obtained through the Site or such Sites, including direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to personal injury, damages, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of reputation, loss of data,  or if it was caused by tort (including negligence), breach of contract, or some other reason, even if it could be foretold.

Any cause of action or claim you may have arisen out of or relating to these Terms of Use, or the Website must be commenced within one (1) year after the cause of action occurred, otherwise any cause or claim is permanently barred.

18. Applicable law and jurisdiction

All matters relating to the Websites and these Terms of Use, and any dispute or statement arising out of or relating thereto, are governed by the laws of the State of Texas without giving effect to any decision or conflict of law provisions.

Any legal action or proceeding that may result from, or relate to, the Terms of Use or the Websites shall be instituted exclusively in the federal courts of the United States or in the court of the State of Texas, which are located in the City of Houston and Harris County. You waive any and all objections to the exercise of jurisdiction by any court and the location thereof.

19. Mobile Apps

From time to time, we may, in our sole discretion, develop and provide updates to programs or mobile applications, which may include enhancements, bug fixes, deletions, or new programming. You agree that the Church has no obligation to provide such updates. Depending on your mobile device settings, the schedule will be automatically downloaded, and all updates will be installed, or you may be alerted or reminded to download and install those updates.

You understand that normal carrier charges, such as texting and data usage charges, will apply when using the mobile app.

20. Indivisible agreement

The Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and the Church with respect to the Website and supersedes any and all prior agreements, representations, or warranties, whether oral or written, with respect to the Website.

Returns & Exchanges

o Product sold Once the product you want to return has been received, we will replace or exchange the product or give you a refund in the form of your original payment if you wish.

o Product in exchange for a Contribution: Once the product is received, we will replace it or exchange the product.

o Please note that due to current tax laws, contributions made to the ministry in exchange for a product cannot be refunded.

21. Deliveries to Penitentiary Centers

We are not responsible for the delivery of packages to Penitentiary Centers. We will do our best to follow the shipping instructions provided by our customers, but we will not be able to give a refund for orders that do not arrive at their assigned destination. So, if you want to send a package to someone in a correctional facility, you do so at your own risk and expense.

22. Age Required to Use the Websites

The Websites are offered and available to any user who is thirteen (13) years of age or older. However, users between the ages of thirteen (13) and eighteen (18) must have the approval of a parent or guardian, as well as access and accept these Terms of Use prior to such use. By using the Websites, you affirm that you meet the requirements listed above and as such enter into a legal and legally binding contract with the Church and are bound by them. If you do not meet these requirements, you must not access or use the Website.

The Websites are controlled from our offices in the U.S. The Church makes no representation that the content or materials on the Websites are appropriate or available for use in any other jurisdiction. Access to the content or materials on the Websites from jurisdictions where access is illegal is strictly prohibited. If you decide to access the Websites from other jurisdictions where such access is illegal, you do so at your own risk. You are always responsible for complying with applicable laws. No waiver by the Church of any term or condition as described in these Terms of Use shall be termed a continuing waiver of any term or condition or of the waiver of any other term or condition, and any failure by the Church to assert a right or provision of these Terms of Use shall not be deemed a waiver of such right or provision.

If any provision contained in these Terms of Use is held by any court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent so that the remaining provisions of the Terms of Use shall continue in full force and scope.

TERMS OF MEMBER SERVICE AGREEMENT

PLEASE READ THE FOLLOWING TERMS OF USE AGREEMENT CAREFULLY. BY ACCESSING OR USING OUR SITES AND OUR SERVICES, YOU HEREBY AGREE TO BE BOUND BY THE TERMS AND ALL TERMS INCORPORATED HEREIN BY REFERENCE. IF YOU DO NOT EXPRESSLY AGREE TO ALL OF THE TERMS AND CONDITIONS, THEN PLEASE DO NOT ACCESS OR USE OUR SITES OR OUR SERVICES THIS SERVICE IS PROVIDED AND OPERATED BY EMBRACE GRACE, PLLC, MVM INTEGRAL & AFFILIATES. THIS TERMS OF SERVICE AGREEMENT IS EFFECTIVE AS OF Aril 11, 2020.

 ACCEPTANCE OF TERMS

We encourage members to operate according to their professional ethics and state / federal regulations – particularly in regard to doing counseling within the geographical area they are licensed.

United States Therapists: The Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES takes no responsibility for members who do not adhere to all applicable state and federal regulations that apply to their license and or certification, particularly in regard to conducting counseling / therapy sessions across state lines in states where they are not licensed. It is understood that members of EMBRACE GRACE, PLLC, MVM INTEGRAL & AFFILIATES agree to practice only within states where they have a current and active license.

The following Terms of Service Agreement (the "TOS") is a legally binding agreement that shall govern the relationship with our users and others which may interact or interface with Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES, contact at P. O. Box 78, Stamford, CT 06904, and our subsidiaries and affiliates, in association with the use of the jc.centerjc.com, embrace.com and integra.lamujervirtuosa.org, websites (the "Sites") and their Services, which shall be defined below.

DESCRIPTION OF WEBSITE SERVICES OFFERED

 The Site is a social networking website which has the following description:

Connecting potential clients to online counselors, pastoral counselors, life couch, consultant, and therapists to provide Online Counseling, Therapy, Wellness Care, Pastoral Service, Pastoral Counseling, Life Coach, Mentoring, Life and Business Consultant. 

Any and all visitors to our sites, regardless of whether they are registered or not, shall be deemed as "users" of the herein contained Services provided for the purpose of this TOS. Once an individual registers for our Services, through the process of creating an account, the user shall then be considered a "member."

The user and/or member acknowledges and agrees that the Services provided and made available through our website and applications, which may include some mobile applications and that those applications may be made available on various social media networking sites and numerous other platforms and downloadable programs, are the sole property of Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES. At its discretion, Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES may offer additional website Services and/or products, or update, modify or revise any current content and Services, and this Agreement shall apply to any and all additional Services and/or products and any and all updated, modified, or revised Services unless otherwise stipulated. Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES does hereby reserve the right to cancel and cease offering any of the aforementioned Services and/or products. You, as the end user and/or member , acknowledge, accept, and agree that Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES shall not be held liable for any such updates, modifications, revisions, suspensions, or discontinuance of any of our Services and/or products. Your continued use of the Services provided, after such posting of any updates, changes, and/or modifications shall constitute your acceptance of such updates, changes and/or modifications, and as such, frequent review of this Agreement and any and all applicable terms and policies should be made by you to ensure you are aware of all terms and policies currently in effect. Should you not agree to the updated, modified, revised, or modified terms, you must stop using the provided Services.

Furthermore, the user and/or member understands, acknowledges, and agrees that the Services offered shall be provided "AS IS" and as such Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES shall not assume any responsibility or obligation for the timeliness, missed delivery, deletion and/or any failure to store user content, communication or personalization settings.

REGISTRATION

To register and become a "member" of the Site, you must be 18 years of age to enter into and form a legally binding contract. In addition, you must be in good standing and not an individual that has been previously barred from receiving jc.centerjc.com, embrace.com and integra.lamujervirtuosa.org Services under the laws and statutes of the United States or other applicable jurisdiction.

Furthermore, the registering party hereby acknowledges, understands, and agrees to: 

1. a) furnish factual, correct, current and complete information with regards to yourself as may be requested by the data registration process, and 

1. b) maintain and promptly update your registration and profile information in an effort to maintain accuracy and completeness at all times. 

If anyone knowingly provides any information of a false, untrue, inaccurate or incomplete nature, Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES will have sufficient grounds and rights to suspend or terminate the member in violation of this aspect of the Agreement, and as such refuse any and all current or future use of Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES Services, or any portion thereof. 

It is Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES’ priority to ensure the safety and privacy of all its visitors, users, and members, especially that of children. Therefore, it is for this reason that the parents of any child under the age of 13 that permit their child or children access to the jc.centerjc.com, embrace.com and integra.lamujervirtuosa.org websites platform Services must create a "family" account, which will certify that the individual creating the "family" account is of 18 years of age and as such, the parent or legal guardian of any child or children registered under the "family" account. As the creator of the "family" account, s/he is thereby granting permission for his/her child or children to access the various Services provided, including, but not limited to, message boards, email, and/or instant messaging. It is the parent's and/or legal guardian's responsibility to determine whether any of the Services and/or content provided are age-appropriate for his/her child.

 PRIVACY POLICY

Every member's registration data and various other personal information are strictly protected by the Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES’ Online Privacy Policy (see the full Privacy Policy at ). As a member, you herein consent to the collection and use of the information provided, including the transfer of information within the United States and/or other countries for storage, processing or use by Online Counselling and/or our subsidiaries and affiliates. 

MEMBER ACCOUNT, USERNAME, PASSWORD AND SECURITY 

After completion of the registration data and creation of your username, you will receive a random password—which you can later change—and account designation. You shall be responsible for maintaining the secrecy and confidentiality of your password and for all activities that transpire on or within your account. It shall be your responsibility to notify Online Counselling immediately if you notice any unauthorized access or use of your account or password or any other breach of security. Online Counselling shall not be held liable for any loss and/or damage arising from any failure to comply with this term and/or condition of the TOS. 

CONDUCT 

As a member of the Site, you herein acknowledge, understand and agree that all information, text, software, data, photographs, music, video, messages, tags or any other content, whether it is publicly or privately posted and/or transmitted, is the expressed sole responsibility of the individual from whom the content originated. In short, this means that you are solely responsible for any and all content posted, uploaded, emailed, transmitted, or otherwise made available by way of onlinecounselling.com Services, and as such, we do not guarantee the accuracy, integrity, or quality of such content. Any such notices may not be received if you violate any aspects of the TOS by accessing our Services in an unauthorized manner. Your acceptance of this TOS constitutes your agreement that you are deemed to have received any and all notices that would have been delivered had you accessed our Services in an authorized manner.

You herein agree not to display and/or use in any manner the Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES logo or marks. 

COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT CLAIMS NOTICE & PROCEDURES 

Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES will always respect the intellectual property of others, and we ask that all of our users to the same. With regards to appropriate circumstances and at its sole discretion, Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES may disable and/or terminate the accounts of any user who repeatedly violates our TOS and/or infringes the rights of others. If you feel that your work has been duplicated in such a way that would constitute copyright infringement, or if you believe your intellectual property rights have been otherwise violated, you should provide to us the following information: 

1. a) The electronic or the physical signature of the individual that is authorized on behalf of the owner of the copyright or other intellectual property interest; 

1. b) A description of the copyrighted work or other intellectual property that you believe has been infringed upon; 

1. c) A description of the location of the site which you allege has been infringing upon your work; 

1. d) The physical address, telephone number, and email address; 

1. e) A statement, in which you state that the alleged and disputed use of your work is not authorized by the copyright owner, its agents or the law;

GENERAL INFORMATION 

ENTIRE AGREEMENT

This TOS constitutes the entire agreement between you and Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES and shall govern the use of our Services, superseding any prior version of this TOS between you and us with respect to Online Counselling Services. You may also be subject to additional terms and conditions that may apply when you use or purchase certain other Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES, affiliate Services, third-party content, or third-party software. 

CHOICE OF LAW AND FORUM

It is at the mutual agreement of both you and Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES with regard to the TOS that the relationship between the parties shall be governed by the laws of the state of Connecticut without regard to its conflict of law provisions and that any and all claims, causes of action and/or disputes, arising out of or relating to the TOS, or the relationship between you and Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES, shall be filed within the courts having jurisdiction within the County of  Fairfield, Connecticut of the U.S. District Court located in said state. You and Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES agree to submit to the jurisdiction of the courts as previously mentioned and agree to waive any and all objections to the exercise of jurisdiction over the parties by such courts and to venue in such courts. 

WAIVER AND SEVERABILITY OF TERMS

At any time, should Mujer Virtuosa International, Integral, Embrace, Soar INTEGRAL Care & AFFILIATES fail to exercise or enforce any right or provision of the TOS, such failure shall not constitute a waiver of such right or provision. If any provision of this TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect. 

NO RIGHT OF SURVIVORSHIP NON-TRANSFERABILITY

You acknowledge, understand, and agree that your account is non-transferable and any rights to your ID and/or contents within your account shall terminate upon your death. Upon receipt of a copy of a death certificate, your account may be terminated and all contents therein permanently deleted. 

STATUTE OF LIMITATIONS

You acknowledge, understand, and agree that regardless of any statute or law to the contrary, any claim or action arising out of or related to the use of our Services, or the TOS must be filed within 5 year(s) after said claim or cause of action arose or shall be forever barred.
